Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 2, 2022, Malissia Clinton notified the board of directors (the “Board”) of Progyny, Inc. (the “Company”) of her resignation from the Board and from the Nominating and Corporate Governance Committee of the Board, in each case effective April 18, 2022. Ms. Clinton’s resignation is due to new outside restrictions related to board commitments and did not result from any disagreement with the Company on any matter relating to its operations, policies, or practices.
